General Terms and Conditions (GTC)

1. Scope of Application
These General Terms and Conditions (GTC) apply to all business relationships between Promotions Sales DOOEL (hereinafter referred to as "Turnover Connect") and its commercial customers.

2. Subject of Services
Turnover Connect provides services in B2B appointment setting, outbound communication, lead qualification, and sales support services. The specific scope of services is defined by the respective offer or contract.

3. Objective of the Service
The objective of the service is to arrange qualified appointments with previously defined contacts or decision-makers based on mutually agreed criteria. Economic success or a contract conclusion with the end customer is not guaranteed.

4. Minimum Purchase
Unless otherwise agreed, a minimum purchase applies according to the respective offer or the individual agreement between the parties.

5. Remuneration
The remuneration is determined by the respective offer or contract. If agreed, payment shall be made in advance.

6. Qualified Appointments
Only appointments that meet the jointly defined qualification criteria and have been properly documented are considered qualified.

7. No-Show Policy
If contractually agreed, Turnover Connect may offer a no-show replacement or rescheduling. The specific conditions depend on the respective individual agreement.

8. Complaints
Complaints regarding the qualification of an appointment must be submitted in writing within three (3) calendar days after its execution. Complaints received later may not be considered.

9. Customer's Obligations to Cooperate
The customer undertakes, in particular, to provide necessary information, designate contact persons, submit feedback promptly, and adhere to agreed processes.

10. Liability
Turnover Connect is liable exclusively for intent and gross negligence to the extent permitted by law. Liability for indirect damages, lost profits, or consequential damages is excluded, to the extent permitted by law.

11. Confidentiality
Both parties undertake to treat all non-publicly known information confidentially.

12. Intellectual Property
All concepts, documents, processes, documentation, and content remain the property of Turnover Connect, unless otherwise agreed in writing.

13. Applicable Law
The law of the Republic of North Macedonia shall apply, to the exclusion of conflict-of-law provisions, to the extent permitted by law.

14. Place of Jurisdiction
To the extent permitted by law, the exclusive place of jurisdiction is the registered office of Promotions Sales DOOEL in Ohrid, North Macedonia.

15. Final Provisions
Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.
